This course provides a comprehensive examination of corporate governance as a cornerstone of sustainable organizational performance and market integrity. Designed for Master 2 students in Management of Organizations and Human Resources, the module explores the theoretical foundations, practical mechanisms, and regulatory frameworks that shape how corporations are directed and controlled.
Students will investigate the evolution of governance thought from Berle and Means (1932) through modern agency theory, analyzing the separation of ownership and management and the principal-agent dilemma. The curriculum covers the seven core G20/OECD Principles of Corporate Governance (2023), including shareholder rights, equitable treatment, stakeholder roles, disclosure and transparency, board responsibilities, and the critical new dimension of sustainability and resilience.
The course examines governance across diverse economic contexts, comparing insider and outsider ownership systems and addressing specific challenges in developing and emerging economies. Through lectures and interactive tutorials, students will learn to evaluate governance structures, assess transparency and accountability mechanisms, and apply governance principles to real-world corporate scenarios.
By the end of the module, students will be able to analyze governance systems in different legal and economic contexts, understand the relationship between governance quality and organizational performance, and propose mechanisms to enhance transparency and stakeholder protection. Assessment combines a final examination with continuous evaluation through tests and a practical project, ensuring both theoretical mastery and applied competency.
Module's Objectives

- Apply governance principles to real corporate situations.
- Compare the corporate governance systems, and the relationships between their key components in different legal and economic contexts.
Prerequisite Knowledge
To successfully follow the Corporate Governance course, students are expected to have prior knowledge in the following areas:
- Understanding of basic management functions (planning, organizing, leading, and controlling).
- Ability to read and interpret financial statements and basic knowledge of investment and financing decisions.
- Basic concepts of company law, legal forms of firms, and regulatory frameworks.
- Knowledge of market mechanisms, firm behavior, and economic decision-making.
